1. About these terms
ValueBase is provided at valuebase.app by DATAREPORTIVE LTD., a private limited company registered in England and Wales with company number 10196769, whose registered office is [PLACEHOLDER] registered office address, which UK law requires this page to show. In these terms, "we", "us" and "our" mean DATAREPORTIVE LTD., and "you" means the person using ValueBase.
These terms, together with our Privacy Policy and our Disclaimer, form the agreement between you and us. By creating an account, or by using ValueBase without one, you accept them. If you do not accept them, please do not use the service.
Nothing in these terms affects the rights you have as a consumer under UK law, including your rights under the Consumer Rights Act 2015.
2. Who can use ValueBase
You must be at least 18 years old, and able to enter into a binding contract, to create an account. ValueBase is designed for individuals who are researching and recording their own investments, and each account is for the use of one person only.
3. Your account
ValueBase does not use passwords. When you sign up or sign in, we email you a link that works once and expires after 5 minutes. Anyone who can read your email can therefore sign in to your account, so please keep your email account secure and do not forward sign-in emails to anyone else.
Please use an email address that you control and keep it up to date, because that is where we send sign-in links and notices about your account and subscription. You are responsible for what happens under your account, and if you think someone else has used it, please tell us straight away through the contact form so that we can help you secure it.
4. What ValueBase is, and is not
ValueBase is a research and record-keeping tool. It includes a stock screener, company profiles built from filings and market data, the latest reported holdings of well-known investors, research reports written by AI, a Research Tracker with notes, tags and stages, a discounted cash flow calculator, and portfolio tracking measured against the S&P 500 total return.
We are not authorised or regulated by the Financial Conduct Authority, and we do not provide investment advice. Nothing on ValueBase is a personal recommendation, and nothing on it takes account of your objectives, your financial situation or your attitude to risk. Screens, star ratings, fair value estimates, reports and every other figure are general information to help you carry out your own research. The decision to buy, sell or hold any investment is yours alone, as are its consequences, and if you would like advice, please speak to a financial adviser authorised by the FCA. Our Disclaimer explains this in more detail.
5. Research reports
Research reports on ValueBase are written by an AI system, and every report says so at the top. Each report follows a stated method and cites the filings, transcripts and other sources it relies on, so that you can check its reasoning for yourself. A report can nevertheless misread a source, leave out something important or become out of date, and it may reach you without having been reviewed by a person. Please treat every report as a starting point for your own research rather than as a conclusion.
Pro includes 10 research reports a month, with no more than 25 on any one day. Your month runs from the day of the month on which your subscription started, and reports you do not use in one month do not carry over to the next. You ask for a report on a company and we then write it, so a new report can take some time to arrive, and we will email you when it is ready unless you have turned those emails off in Settings. If a current report on that company already exists, you receive it straight away and it still uses one report from your allowance. If we cannot complete a report, or cannot accept a request for a particular company, the report is returned to your allowance.
The reports you receive stay in your library for as long as you subscribe, and you can listen to them read aloud by a computer-generated voice. A Free account can read one sample report in full. Reports are provided for your own use, so please do not publish, sell or share them in full, although you are welcome to quote a short passage for non-commercial discussion if you credit ValueBase.
A star rating compares a company's share price with the fair value estimate in its latest report, and it changes as the price moves. It summarises one estimate at one point in time and is not a recommendation.
6. Market data
Prices, financial statements, filings, holdings and other data on ValueBase come from third-party providers and from public sources such as the US Securities and Exchange Commission. No price on ValueBase is a real-time quote, and different figures are delayed by different amounts, as our page on how our prices work explains. Superinvestor holdings come from regulatory filings that are made weeks or months after the positions they describe.
We take care over our data, but we cannot guarantee that it is accurate, complete or current, and we provide it as it is. Portfolio values are estimates built from delayed prices and exchange rates and will not match your broker exactly. Please do not rely on ValueBase for anything time-sensitive, such as deciding when to place an order.
Rights in much of this data belong to the third parties who compile it. You may use it for your own research within the service, but you may not copy, extract, redistribute or sell it.
7. Plans and payment
The Free plan costs nothing and is not a trial. It includes one portfolio holding up to 3 stocks at any one time, one sample research report and the other features described on our pricing page.
Pro costs $7.99 a month, which is a promotional price. It is charged in US dollars, in advance, on the same day each month, and it renews automatically until you cancel it. Your bank may charge its own fee for a payment in a foreign currency. [PLACEHOLDER] State whether this price includes VAT, which depends on the company's VAT registration.
Payments are taken by Stripe, our payment provider, and we never see or store your full card number. If we change the price of Pro, or a promotional price comes to an end, we will email you at least 30 days before the new price applies to you, and you may cancel before then if you do not wish to continue.
If a payment fails, Pro features are paused until Stripe is able to collect it, and your data stays as it is while Stripe tries again. If your subscription ends because a payment could not be collected, section 9 applies.
8. Cancelling and refunds
You can cancel Pro at any time from Settings. Pro remains available until the end of the period you have already paid for, and you will not be charged again.
Your right to cancel within 14 days
If you are a consumer, you may cancel your first Pro subscription within 14 days of the day on which you took it out, without giving any reason. To do so, cancel in Settings and let us know within those 14 days, either through the support option in the app or through our contact form. We will refund your payment to the card you paid with within 14 days of hearing from you. If you asked at checkout for Pro to start straight away, and confirmed that you understood what that meant for this right, we may deduct an amount in proportion to the service you had received before you told us, including any research reports delivered to you.
[TO DO] Checkout does not yet ask a subscriber to request an immediate start. Until it does, a cancellation within 14 days must be refunded in full, with no deduction.
Other refunds
Outside that 14-day period we do not refund part of a month when you cancel, because Pro continues until the end of the month you have paid for. This does not affect your legal rights if the service is faulty or not as described, and in that case please contact us so that we can put things right.
9. When Pro ends
When Pro ends, whether because you cancelled or because a payment could not be collected, every portfolio on your account, including one created on the Free plan, is removed from your account on the day it ends. We keep them for 30 days, and if you subscribe again within that time they are restored exactly as they were. After 30 days they are deleted permanently and cannot be recovered.
Your notes, tags, research stages and saved valuations remain with your account, although a stage that was set automatically because you held a company will change when the portfolios holding it are removed. Access to the research reports you received ends until you subscribe again. Exporting transactions is part of Pro, so please export anything you wish to keep before your subscription ends. We will email you when a cancellation is scheduled and again on the day Pro ends.
10. Your content
Your content means everything you put into ValueBase, such as your portfolios, transactions, notes, tags, saved screens and valuations, and the files you import. It remains yours. You permit us to store, copy, process and display it only as needed to run ValueBase for you, which includes sending a note to our AI provider when you ask for it to be cleaned up. We do not sell your content, we do not use it to train AI models, and we do not show it to other users.
You are responsible for what you enter and import, and your portfolio figures can only be as accurate as the transactions behind them. When you import a file, we read it to create your transactions and do not keep the file itself. Please do not put anything into your notes that is not yours to share, or sensitive personal information about yourself or anyone else, such as details of someone's health.
11. Fair use
We want ValueBase to stay fast, reliable and fair for everyone who uses it, so you agree that you will not do any of the following.
- Use ValueBase for anything unlawful, fraudulent or harmful, or in a way that infringes anyone else's rights.
- Access another person's account, or try to get around the limits of your plan, the security of the service or the way in which we control access to it.
- Scrape, crawl or bulk download data, reports or other content, or use bots or other automated means to access ValueBase, except through features we provide for that purpose.
- Copy, republish, redistribute, sell or license data, reports or other content from ValueBase, or use them to build a competing product or dataset.
- Share your account, or the sign-in links we send you, with anyone else.
- Upload anything containing malicious code, or interfere with the service or place an unreasonable load on it.
- Reverse engineer or decompile any part of the service, except where the law allows you to.
12. Our content
ValueBase, including its software, design, text, reports and ratings, and the way in which its data is selected and arranged, belongs to us or to the people who license it to us. While you have an account and follow these terms, we give you a personal, non-transferable permission to use ValueBase for your own research and record keeping, and we reserve all other rights. The ValueBase name and logo are ours, and you may not use them in a way that suggests we endorse you or your work.
If you send us feedback or ideas, we are grateful for them, and we may use them to improve ValueBase without owing you anything in return.
13. Changes to the service
We are always improving ValueBase, so its features will change over time. We aim to keep it available at all times, but we cannot promise that it will always be available or free from errors, and we occasionally need to take it offline for maintenance. If we remove or significantly reduce a feature that is part of Pro, we will tell you in advance, and if the change leaves you worse off you may cancel and we will refund any part of your current period that you have paid for and not used.
If we ever decide to stop providing ValueBase, we will give you at least 30 days' notice by email, give you the opportunity to export your transactions, and refund any payment for a period after the service ends.
14. Closing an account
You can stop using ValueBase whenever you like. To close your account and have your data deleted, please ask us through the contact form, choosing "Privacy or your personal data". If you have a Pro subscription, closing your account cancels it with immediate effect, and any refund is governed by section 8. Our Privacy Policy explains what we delete and when.
We may suspend or close your account if you seriously or repeatedly break these terms, if the law requires us to, or if we reasonably need to in order to protect ValueBase or the people who use it. Where we can, we will tell you why and give you an opportunity to put things right first. If we close your account for any reason other than a breach of these terms, we will refund any part of your current period that you have paid for and not used.
15. Our responsibility for loss
If we break these terms or fail to use reasonable care and skill, we are responsible for loss or damage you suffer that is a foreseeable result of that. Loss or damage is foreseeable if it is obvious that it would happen, or if both you and we knew that it might happen when you started using ValueBase. We are not responsible for loss or damage that is not foreseeable.
We do not exclude or limit our liability in any way where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, and for breach of your legal rights as a consumer in relation to the service.
ValueBase provides general information and research tools, not advice. So far as the law allows, we are not responsible for any decision you make to buy, sell or hold an investment, or for any loss on an investment, including where you relied on data, ratings, valuations or reports from ValueBase. The value of investments can fall as well as rise, and it is for you to check anything important before you act on it.
We provide ValueBase for private use. If you use it for any business or commercial purpose, we have no liability to you for any loss of profit, loss of business, business interruption or loss of business opportunity.
Subject to the paragraphs above, our total liability to you for all claims connected with ValueBase is limited to the greater of the amount you paid us in the 12 months before the event giving rise to the claim and £100.
We are not responsible for delays or failures caused by events outside our reasonable control, such as an outage at a data, hosting or payment provider, but we will do what we reasonably can to limit their effect on you.
16. Changes to these terms
We may update these terms from time to time, for example to reflect changes to ValueBase, to the law or to the way we run our business. If a change materially affects you, we will email you at least 30 days before it takes effect. If you do not agree with the change, you may cancel Pro or close your account before then, and we will refund any part of your current period that you have paid for and not used. Otherwise, continuing to use ValueBase after that date means that you accept the updated terms. The date at the top of this page shows when they last changed.
17. Other important terms
We may transfer our rights and obligations under these terms to another organisation, for example if the business is sold. If that happens we will tell you, and we will make sure that the transfer does not reduce your rights. You may not transfer your rights or obligations under these terms without our written agreement.
These terms are between you and us, and nobody else has any right to enforce them. If a court decides that part of these terms is unlawful or cannot be enforced, the remainder stays in force. If we do not insist straight away that you do something these terms require, that does not prevent us from insisting on it later.
18. Law and disputes
These terms are governed by the law of England and Wales, and any dispute about them will be heard by the courts of England and Wales. If you live in Scotland, you may instead bring proceedings in Scotland, and if you live in Northern Ireland, you may instead bring proceedings in Northern Ireland. If you live outside the UK, you keep the protection of any mandatory consumer law of the country in which you live.
If you have a complaint, please contact us first, and we will do our best to resolve it quickly and fairly.
